These terms and conditions apply to the use of www.inbizvest.com website ("the Website") by Users. Please read these Terms and Conditions carefully and ensure that you have understood them.
By signing up for a inbizvest user account or by viewing or using any part of the Website, you warrant that you understand and accept these terms and conditions. If you do not agree to these Terms, please cease use of the Website immediately.
The Website Owner may change these conditions at any time by posting new or amended conditions on the Website. Users continued use of the Website after any changes are posted means that the User has accepted that they are bound by the new or amended conditions. The User must therefore check the Website’s terms and conditions regularly.
1. Definitions
"inbizvest.com" means Adventures in Business Limited, a company registered in England and Wales with company number 6222609, whose registered office is 68 New Hampton lofts, 90 Great Hampton Street, Birmingham, B186EU;
"Charges" means the charges payable to us in respect of the provision of the Chargeable Service and Subscription, which is set out at www.inbizvest.com;
“Chargeable Service” means in respect of the user, having access to certain features and functionalities on the Website for a specific duration including without limitation the ability to create, produce and maintain their user profile/s;
“Non Chargeable Service” means the services (or part thereof) accessible to Users without charge or any other services deemed non chargeable by us which are made available on the Website;
"Profile" means information, including without limitation, the name, address and company details relating to the User (which may or may not be fully accessible by other Users) held by inbizvest.com and published on the Website;
“Service” means the Chargeable Service, the Non Chargeable Service and any other ancillary services which may be made available by inbizvest.com to Users;
“User” means a person who is registered with inbizvest.com and has either a basic, enhanced or pro profile;
“Enhanced Profile” means a User who is registered with inbizvest.com and pays a subscription fee.
“Basic Profile” means a User who is registered with inbizvest.com and pays a subscription fee.
“Investor” means a User who has registered with inbizvest.com as an investor and certified they are a High Net Worth Individual or Sophisticated Investor.
“Confidential Information” means information (in whatever format and medium and whether written or oral) contained in a Users profile.
2. User Registration
2.1 You must be eighteen (18) years old or over to Use the Website.
2.2 In order to obtain a login to the Website and gain access to the Service the User agrees to provide accurate, complete personal information as requested. It is the responsibility of the User to provide updated personal information.
2.3 By Using the Website and the Service, you warrant that you have the right, authority and capacity, in respect of your status as a User, to enter into and be bound by these Terms and Conditions.
2.4 The Website login may only be used by the designated User, shared access is not permitted. Users may not assign or transfer their login details.
2.5 The User agrees to
i) immediately notify the Website Owner of any unauthorised use of their login ID or any other breach of security, and
(ii) ensure that they exit from the Services at the end of each session.
2.6 The User agrees not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, use of the Service, or access to the Service, including any of the User's or Website Owner’s intellectual property rights or any person firm or corporation having posted information through the Service.
2.7 The User may not market, promote or sell any goods or products, services or supplies to Users.
2.8 The User understands that the Website Owner does not recommend one User profile over another.
2.9 The User understands investment in businesses carry very high risks . Such investments are highly speculative and Users are advised to take advice from a person authorised under the Financial Services and Markets Act 2000 (FSMA) who specialises in advising on investments of this kind. inbizvest cannot advise on the merits or risks of investments and are not authorised to arrange transactions or circulate offer documents under the FSMA.
2.10 The User shall not use the Service and/or not do anything that will infringe any Intellectual Property Rights or other rights of any third parties, including posting anything on the Website which may be deemed obscene, defamatory, libellous or slanderous, or which may cause injury to, invade the privacy of or otherwise violate other rights of any person.
3. inbizvest.com's Responsibilities
3.1 The network is not controlled by Inbizvest.com and may from time to time be upgraded, modified, subject to maintenance work or otherwise amended by the owner of the network. Such circumstances may result in the Service being temporarily unavailable. Inbizvest.com will take reasonable action to minimise the disruption caused by such circumstances, but some such interruptions may not be avoidable.
3.2 inbizvest.com's ability to provide the Service may be impaired by conditions or circumstances that are beyond our control, including, without limitation third party service providers, geographic or atmospheric conditions, local physical obstructions, software and hardware features or functionality of your personal computer operating system and the number of other Users logging onto the Website at the same time.
3.3 Inbizvest.com is not an investment advisor and we have not evaluated nor investigated any of the Users listed on the Website to determine their viability or risk. Inbizvest.com does not endorse any individual or company listed on the Website. It is your responsibility to investigate and determine the viability and nature of any contact you make through the Service. Inbizvest.com has no responsibility (express or implied) for the success or failure of investments made as a result of matches found through the website.
4. Financial Services and Markets Acts 2000
4.1 Users registering as investors are deemed at all times to have represented and warranted to inbizvest that they are a ‘Certified High Net Worth Individual’, or ‘Self Certified Sophisticated Investor’ as defined by the FSMA, or are non-UK residents (in which case they must act in conformity with any relevant laws in their country of residence).
5. Intellectual Property
5.1 The User acknowledges that all copyright, trademarks, and other intellectual property rights in and relating to inbizvest.com service are owned by inbizvest.com. No one may copy, distribute, show in public or create any derivative work from the inbizvest.com service, or any of the material that is found on the inbizvest.com site unless properly licensed to do so by inbizvest.com.
5.2 The User may not copy any part of the Website, profile content or carry out any other act which is protected by copyright or extract or re-utilise the whole or any substantive part of the Third Party Content of the Website other than:
i) printing in hard copy form portions of the Website for personal use;
ii) downloading any page from the Website for personal use only;
iii) storing pages from the Website in a cache or temporary retrieval system for the sole purpose of personal viewing off-line.
5.3 These consents do not permit the User to modify any of the Website’s Third Party Content or to use it in any commercial context without the Website Owner’s prior written consent.
6. Warranties, Liabilities and Indemnities
6.1 Inbizvest.com cannot guarantee and does not promise any specific results from your Use of the Website. Unless expressly provided to the contrary in these Terms and Conditions to the maximum extent permitted by law, inbizvest.com excludes all representations, warranties, obligations and liabilities in connection with the information provided on the Website, including but not limited to warranties of satisfactory quality, merchantability, non-infringement of Intellectual Property Rights, accuracy, completeness, reliability, fitness for a particular purpose or otherwise.
6.2 Inbizvest.com will not be liable to a User or any third party for any indirect or consequential loss or damage, or for any loss of data, profit, revenue or business, howsoever caused (whether arising out of any negligence or breach of this Agreement or otherwise). inbizvest.com will also not be liable for any failure to perform of its obligations under this Agreement caused by matters beyond its reasonable control.
6.3 Without limiting the preceding Clause, during any period of one month, the aggregate liability of inbizvest.com under this Agreement (whether arising in negligence or otherwise) will not under any circumstances exceed an amount equal to the sums paid by you to us by way of membership fees during the relevant period, regardless of the cause or form of action.
6.4 You agree to indemnify inbizvest.com against all liabilities, claims and expenses that may arise from any breach of this agreement by you or through a machine on which you access the inbizvest.com service.
6.5 You agree that at the time when the profile was or is created, you were or will be a “qualifying person” for the purposes of section .154 of the Copyright, Designs and Patents Act 1988 and shall remain so qualified for the duration of your membership
6.6 Intellectual Property Rights in your profile content (or part thereof) is owned by and/or licensed to you and you have the right to use the Intellectual Property Rights in the Content in respect of and in contemplation of the Services herein.
7. Non Disclosure Agreement
7.1 You agree to treat the Confidential Information disclosed by whatever means as being strictly private and confidential.
7.2 You agree to take all reasonable measures to maintain its status as such.
7.3 You agree to use the Confidential Information solely for the purposes of evaluating the business with a view to investing in the business and not for any other purpose (including but without limitation to procuring any commercial advantage).
7.3 You agree to not at any time disclose or allow access by any person to any of the Confidential Information.
